Terms of Use - MMP (Make Myself Proud)

Effective Date: 5/22/2026

Last Updated: 5/22/2026

These Terms of Use (“Terms”) govern your access to and use of MMP, our iOS app, and any related features, content, communications, and services.

By downloading, installing, creating an account for, accessing, or using MMP, you agree to these Terms. If you do not agree, you must not use the app.

1. Who These Terms Are Between

These Terms are between you and us, Eloura LLC, and not between you and Apple. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as permitted under Apple’s minimum EULA requirements.

2. Eligibility

By using MMP, you represent that:

  • You are legally able to enter into a binding agreement.

  • You will comply with applicable laws and regulations.

  • You are not located in a country subject to a U.S. government embargo or designated as supporting terrorism.

  • You are not on any U.S. government list of prohibited or restricted parties.

If you use MMP on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. License to Use MMP

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use MMP on Apple-branded devices that you own or control, and only as permitted by Apple’s usage rules and the Apple Media Services Terms and Conditions.

This license is for your personal, lawful, internal, and non-commercial use unless we expressly agree otherwise in writing.

4. What MMP Is

MMP (Make Myself Proud) helps users set goals around what matters to them, turn those goals into small daily actions, and reflect on progress over time. The app may include tools for setting values, creating goals, tracking daily actions, managing routines, setting reminders, creating vision board items, logging wins, writing daily reflections, and saving weekly reviews.

Descriptions, screenshots, and feature information may change as the app evolves.

 5. Your Account

Some features of MMP may require you to create an account. If you create an account, you agree to:

  • Provide accurate, current, and complete information.

  • Keep your login credentials secure and confidential.

  • Update your information when it changes.

  • Take responsibility for activity under your account.

  • Notify us promptly if you believe your account has been accessed without authorization.

We may suspend or terminate accounts that violate these Terms, create risk, contain false information, or appear compromised.

 6. Content You Create

MMP may allow you to create, upload, store, or submit content, including text, images, goals, routines, notes, reflections, wins, and similar materials (“User Content”). You keep ownership of your User Content.

However, by using MMP and adding User Content, you give us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, transmit, display, and back up that content only as necessary to operate, improve, secure, and provide the app.

You are responsible for your User Content and represent that:

  • You own it or have the right to use it.

  • It does not infringe anyone else’s rights.

  • It does not violate the law or these Terms.

 7. Acceptable Use

When you use MMP, you agree that you will not:

  • Use the app for unlawful, harmful, fraudulent, or misleading purposes.

  • Upload or submit content that is abusive, defamatory, obscene, infringing, harassing, or otherwise objectionable.

  • Attempt to access accounts, systems, databases, or networks without authorization.

  • Reverse engineer, decompile, disassemble, or try to extract source code from the app except where the law specifically allows it.

  • Interfere with the app’s operation, integrity, performance, or security.

  • Use bots, scrapers, or automated tools to access or extract data from the app.

  • Circumvent technical restrictions or security features.

  • Use MMP in violation of any applicable third-party terms.

 8. No Professional Advice

MMP is a goal-setting and reflection tool. It is not medical, mental health, therapeutic, legal, financial, or other professional advice, and you should not rely on it as a substitute for advice from a qualified professional.

We do not promise that using MMP will guarantee goal achievement, improved well-being, or any particular personal result.

 9. Notifications and Communications

By using MMP, you agree that we may send you account, operational, transactional, legal, and service-related communications, including verification codes, password reset emails, support replies, security notices, policy changes, and app updates. If you opt in to marketing emails, you also agree to receive those until you unsubscribe.

You are responsible for managing your device-level notification settings. If you disable notifications, some reminder or routine features may not work as intended.

 10. Third-Party Services

To operate MMP, we may rely on third-party tools and service providers, including providers for authentication, backend infrastructure, database services, storage, communications, diagnostics, analytics, or hosting. We are responsible for MMP itself, but some third-party services may be governed by separate terms or privacy policies.

You agree to comply with any third-party terms that apply to your use of the app or connected services.

 11. Intellectual Property

MMP, including its software, branding, design, logos, text, graphics, visual elements, features, and related technology, is owned by or licensed to us and protected by intellectual property and other laws.

Except for the limited license we grant you in these Terms, we keep all rights, title, and interest in and to MMP. You may not copy, modify, distribute, republish, sell, lease, create derivative works from, or otherwise exploit any part of the app unless we expressly permit it or the law allows it.

 12. Feedback

If you send us ideas, suggestions, recommendations, or feedback about MMP, you agree that we may use that feedback without restriction or compensation, subject to applicable law and our obligations regarding your personal information.

 13. Future Paid Features

MMP is currently free at launch and does not offer subscriptions, paid plans, free trials, premium features, or in-app purchases at this time. If we introduce paid features later, they may be governed by additional terms presented at that time.

 14. Suspension and Termination

You may stop using MMP at any time. We may suspend, restrict, or terminate your access to MMP, with or without notice, if:

  • You violate these Terms.

  • You create legal, security, or operational risk.

  • We need to protect the app, our users, or our business.

  • We are required to do so by law, court order, or service provider requirements.

  • We change, discontinue, or replace the app.

If your access is terminated, the license granted to you under these Terms ends immediately. Provisions that should naturally survive termination will continue to apply.

 15. App Changes and Availability

We may add, remove, update, suspend, or change features or functionality in MMP at any time.

We do not guarantee that MMP will always be available, error-free, or compatible with every device, operating system version, or future update.

 16. Maintenance and Support

To the extent we provide maintenance or support, we, and not Apple, are solely responsible for doing so. Apple has no obligation to furnish maintenance or support services for MMP under Apple’s minimum EULA terms.

 17. Disclaimer of Warranties

To the fullest extent permitted by law, MMP is provided on an as is and as available basis. This means we do not make warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, or error-free performance.

Specifically, we do not guarantee that:

  • MMP will always be available or uninterrupted.

  • MMP will be free from bugs, delays, or errors.

  • Your data will never be lost, corrupted, delayed, or inaccessible.

  • MMP will meet all of your expectations.

  • Using MMP will produce any specific result.

 18. Product Claims

We, and not Apple, are responsible for addressing claims relating to MMP or your possession and use of MMP, including product liability claims, claims that the app does not comply with legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.

 19. Limitation of Liability

To the fullest extent permitted by law, we and our owners, members, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business opportunities, data, or content, arising out of or related to your use of, or inability to use, MMP.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to MMP or these Terms will not exceed the greater of:

  • The amount you paid to us for the app in the twelve months before the event giving rise to the claim, or

  • $50.

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

 20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, members, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of MMP.

  • Your User Content.

  • Your violation of these Terms.

  • Your violation of any law or the rights of another person or entity.

 21. Intellectual Property Claims

If a third party claims that MMP or your possession and use of MMP infringes that third party’s intellectual property rights, we, and not Apple, will be solely responsible for investigating, defending, settling, and discharging that claim to the extent required by Apple’s minimum EULA rules.

 22. Export Compliance

You may not use or export MMP except as authorized by United States law and the laws of the jurisdiction where you obtained the app. In particular, MMP may not be exported or re-exported in violation of U.S. export control or sanctions laws.

 23. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois without regard to conflict of law principles, except where applicable federal law controls.

Any dispute not subject to arbitration must be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction and venue in those courts.

Nothing in these Terms limits any consumer rights you may have under laws that apply in your place of residence.

 24. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you through the app, by email, or by other reasonable means.

The updated Terms will become effective on the date shown at the top of this document unless a later date is stated. If you continue to use MMP after the updated Terms take effect, you agree to the revised Terms to the extent permitted by law.
